A counterparty to a swap agreement that has experienced a termination event such as illegality (change in any law or its interpretation), tax event, credit event upon merger, bankruptcy, etc.
Effective from the day on which early termination has been designated, the counterparties don’t have to make any payments or exchanges related to the transaction.
