OTCBB Shell


OTCBB stands for over-the-counter bulletin board. An OTCBB public shell is a public shell that fully reports to the relevant authorities (the SEC or Securities and Exchange Commission), and is required to file the form 10-K, form 10-Q, and regular form 8-K reports as well as other reports required by the SEC. Like a pink shell, it has a ticker symbol.

Thanks to the greater deal of disclosure, this type of shells is more transparent than others, and hence it comes with the advantage of being able to attract a wider base of investors and particularly in a short period of time. It is also easier to operate than a typical listed company since it is not burdened by added rules that exchange-listed companies need to comply with such as the requirement to employ a specific number of directors, to hold annual meetings for proxy, to establish its own audit committee, etc.
