Information Statement


A form that is used to file with the securities and exchange authorities (the SEC) in lieu of a proxy statement where shareholders are to provide their approval on a matter but without proxies being requested or solicited. This is because the minimal number of shareholders either has already approved the matter or is about to approve it at a meeting. The information statement lists a company’s managers, agent for service of process and general type of business. It’s a simple form that a company fills out in order to make some very general information available to the public.
